Course Description: This course is designed to cover the basic legal issues that may be confronted by a technology entrepreneur in the business life cycle of a start-up. The specific topics that will be discussed include: intellectual property protection, licensing, and enforcement; corporate governance and choice of business entity; public and private financing through private placement; employment and personnel issues; and exit strategies such as initial public offering, buyout, and bankruptcy.
